The terms that govern your use of BoardLens services and platform

Welcome to BoardLens!
This is a contract between you (“you,” “your,” or “User”) and BoardLens, Inc. (together with its officers, directors, employees, agents, subsidiaries, and affiliates, “BoardLens,” “we,” or “us”). These Terms of Service (“Terms”) apply when you use or access our website, platform, applications, and any tools, features, products, or content provided by BoardLens (collectively, the “Services”).
By using or accessing the Services, you agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
Please read the “Disclaimers,” “Limitation of Liability,” and “Governing Law and Dispute Resolution” sections carefully — they affect your legal rights, including by requiring arbitration and waiving class actions (subject to your right to opt out).
Your Account and Content
1. Eligibility and Account Creation
You may use the Services only if you can form a binding contract with BoardLens and only in compliance with these Terms and applicable law. You must provide accurate, complete registration information, including your real name and email address.
2. Account Security
You are responsible for activity on your account. Keep your credentials secure and notify us immediately at contact@boardlens.ai if you suspect unauthorized access.
3. Uploaded Content
You may upload or share board-related content (“User Content” or “Board Materials”) such as documents, presentations, or commentary. You retain all ownership rights to your content. You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, and display your content solely to provide and maintain the Services for you (including generating AI outputs at your direction). This license ends when you delete the content or close your account, except for residual copies in backups retained for a limited period and content we must retain by law.
4. Content Confidentiality and AI
We treat Board Materials as confidential. We do not access, share, or use your uploaded content except to provide the Services, on your instruction, or as required by law. We use artificial intelligence to generate summaries and insights from your content; to do so we transmit content to trusted AI service providers who process it on our behalf. We do not use your content to build, train, or fine-tune our own models, and our AI service providers are contractually prohibited from using your content to train or improve their models. We use such providers under enterprise/commercial/API terms with zero- or limited-retention settings where available. Our handling of personal information in Board Materials is governed by our Data Processing Addendum (see “Data Protection” below).
5. Content Restrictions
You agree not to upload or share any content that you do not have the rights to use, or that violates applicable law or infringes the rights of others.
6. Account Suspension and Termination
We may suspend or terminate your access if you violate these Terms or applicable law, or to protect the Services or other users. You may stop using the Services at any time.
7. Data Return and Deletion
Upon termination or expiration of your subscription, you may export your Board Materials for a period of 30 days, after which we will delete or de-identify your Board Materials in accordance with our Data Processing Addendum and retention practices, except where retention is required by law.
8. Minimum Age
The Services are not intended for individuals under 18. By using the Services, you represent that you are at least 18 years old. If we learn that someone under 18 has created an account, we may remove that access.
9. Marketing Communications
By signing up to BoardLens, you agree to receive marketing communications from us and to be added to our newsletter, The AI Leadership Edge. These may include occasional product updates, insights, and offers. You can unsubscribe at any time using the link in any email or by contacting us at contact@boardlens.ai. This does not affect essential service and account-related messages, which we send as part of providing the Services.
10. Plan Limits and Fair Use
Each plan includes usage allowances, for example the number of boards, board cycles, files, pages, re-analyses, and seats, as described on our Pricing page. We may adjust these allowances from time to time with reasonable notice. If you reach an allowance, the relevant feature pauses until the next period, you upgrade, or we agree an arrangement with you; this does not delete or restrict access to what you have already created. On the free plan, analysis you have already generated remains readable even after you reach the plan's allowances.
Acceptable Use
You agree not to:
- Reverse engineer, decompile, or copy any part of the Services, except as permitted by law;
- Access or use another user’s account without permission;
- Use the Services to build a competing product or service;
- Share access credentials;
- Upload or distribute harmful code, or probe, scan, or violate security or authentication measures;
- Use the Services for any unlawful or unauthorized purpose, or in violation of applicable export control or sanctions laws.
We reserve the right to investigate and take appropriate action against any violation.
Service Availability and Support
We aim to provide reliable Services but cannot guarantee uninterrupted access. Scheduled maintenance, technical issues, or unforeseen outages may occur. You are responsible for ensuring your internet and hardware setup supports use of the Services.
Intellectual Property
BoardLens owns all right, title, and interest in and to the Services, including all underlying technology and content (excluding User Content). You may not copy, modify, distribute, or create derivative works based on our intellectual property without our permission. If you provide feedback or suggestions, we may use them without any obligation to you.
AI-Generated Content
The BoardLens platform may use artificial intelligence to generate summaries, insights, and other synthesized outputs from Board Materials (“AI-Generated Content”). These features are core to the Services.
AI-Generated Content is based on customer-provided inputs and is available only to authorized users within your organization. While we aim for accuracy and reliability, such outputs may be incomplete, inaccurate, or not suited to a particular context. You are responsible for reviewing and independently verifying any AI-Generated Content before relying on or acting on it. AI-Generated Content is not legal, financial, tax, investment, or professional advice. As described above, we do not use your data to train our own or third-party models, and any internal AI processing of your data remains private to your organization.
Copyright and DMCA Notice
BoardLens respects intellectual property rights and responds to clear notices of alleged copyright infringement under the Digital Millennium Copyright Act (DMCA).
Notice of infringement
If you believe material on the Services infringes your copyright, send a written notice to our Designated Copyright Agent (below) that includes the elements required by 17 U.S.C. § 512(c)(3):
- A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
- Identification of the copyrighted work claimed to have been infringed;
- Identification of the material claimed to be infringing and information reasonably sufficient to let us locate it (for example, a URL);
- Your contact information, including your address, telephone number, and email;
- A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
- A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.
Counter-notice
If your material was removed or disabled and you believe this was a mistake or misidentification, you may send a counter-notice to our Designated Agent that includes your signature; identification of the material and its location before removal; a statement, under penalty of perjury, that you have a good-faith belief the material was removed by mistake or misidentification; and your name, address, and telephone number, together with a statement that you consent to the jurisdiction of the federal court for your judicial district (or, if outside the United States, the District of Delaware) and will accept service of process from the complaining party. Unless the complaining party files an action seeking a court order, we may restore the removed material within 10–14 business days of receiving a valid counter-notice.
Repeat infringers
In appropriate circumstances, we will disable or terminate the accounts of users who are repeat infringers.

Third-Party Services
We may integrate third-party services (for example, for payment or identity verification). Use of those services is governed by their own terms and privacy policies. We are not responsible for their actions or content.
Fees, Payments, and Auto-Renewal
Some features require payment. You agree to pay all applicable fees, taxes, and charges. Paid Services and their prices will be clearly indicated at purchase.
Automatic renewal. Unless otherwise stated, subscriptions automatically renew at the end of each term (monthly or annual) at the then-current price, and we (or our payment processor) will charge your payment method on file. You may cancel auto-renewal at any time before the renewal date through your account settings or by contacting contact@boardlens.ai; cancellation takes effect at the end of the current term. Where required by law, we will send you a renewal reminder before charging you. We may change pricing with prior notice that takes effect on your next renewal. Payments are processed by third-party providers subject to their terms.
Refunds are issued at our sole discretion or where required by law.
Data Protection
If you upload personal information of individuals (for example, within Board Materials), our Data Processing Addendum (DPA) applies and is incorporated into these Terms, with BoardLens acting as your processor and you as the controller. The DPA includes the Standard Contractual Clauses for international transfers where applicable. For enterprise customers, the DPA forms part of our Master Services Agreement (MSA); a copy is available on request at contact@boardlens.ai.

Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, BOARDLENS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ANY CONTENT OR AI-GENERATED CONTENT IS ACCURATE OR COMPLETE.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, BOARDLENS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) US$100 OR (B) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law (for example, liability for gross negligence, willful misconduct, fraud, or death or personal injury caused by negligence).
Indemnification
You agree to indemnify and hold BoardLens harmless from any claims, damages, losses, or costs (including reasonable legal fees) arising from your User Content, your use of the Services, or your violation of these Terms or applicable law.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Binding arbitration. Any dispute arising from or relating to these Terms or the Services will be resolved through final and binding arbitration administered by JAMS under its applicable rules, seated in Delaware. Judgment on the award may be entered in any court of competent jurisdiction.
Class action waiver. You and BoardLens agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative action. The arbitrator may not consolidate more than one person’s claims.
30-day right to opt out. You may opt out of this arbitration agreement by emailing contact@boardlens.ai within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in the state or federal courts located in Delaware, and you and BoardLens consent to their jurisdiction.
Small claims and injunctive relief. Either party may bring a qualifying claim in small-claims court, and either party may seek injunctive relief in court to protect intellectual property or confidential information.
General
- Entire agreement. These Terms, the Privacy Policy, and any DPA or order forms are the entire agreement between you and BoardLens regarding the Services and supersede prior agreements on the subject.
- Severability. If any provision is found unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified to the minimum extent necessary.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Notices. We may provide notices to you by email or through the Services. You may contact us at contact@boardlens.ai.
Changes to These Terms
We may update these Terms from time to time. The current version is always available on our website. If we make material changes, we will notify you by reasonable means, and where required we will obtain your consent. Continued use of the Services after changes take effect means you accept the updated Terms.
